Terms of Service

These Terms of Service ("Terms") govern your use of Notice123 (the "Service"), a SaaS application operated by Xiamen Yunzhongcheng Technology Co., Ltd. ("we", "us", or "our") that provides Amazon sellers with inventory management and order event notification features through the Amazon Selling Partner API.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Service Description

Notice123 is a SaaS application that helps Amazon sellers manage their inventory and track order events. The Service provides:

  • Amazon inventory quantity monitoring and display
  • Inventory risk alerts based on seller-configured thresholds
  • Order status change notifications (Pending, Shipped, Delivered)
  • Buyer cancellation request alerts
  • Order-event-triggered inventory workflow automation
  • Analytics dashboard for inventory and order insights

The Service accesses Amazon seller data exclusively through the Amazon Selling Partner API (SP-API) and only after explicit authorization by the seller via Amazon's OAuth workflow.

2. Eligibility and Account

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have an active Amazon Seller Central account in good standing
  • Have the authority to authorize third-party applications on behalf of your Amazon seller business
  • Provide accurate and complete information during account registration

2.2 Account Security

You are responsible for maintaining the security of your Notice123 account credentials. You must not share your account password with any third party. You are responsible for all activities that occur under your account.

3. Authorization and Amazon Data

3.1 Authorization

By connecting your Amazon seller account to Notice123, you authorize us to access your Amazon seller data through the SP-API, limited to the Inventory and Order Tracking role and the specific API operations necessary to provide the Service.

3.2 Data Usage

We process your Amazon data solely for providing the inventory and order management features of the Service. We do not:

  • Access buyer Personally Identifiable Information (PII)
  • Aggregate data across different sellers' businesses
  • Sell, share, or distribute Amazon Information to any third party
  • Use Amazon data for marketing, advertising, or buyer targeting
  • Retrieve Amazon Information from any external (non-Amazon) sources

3.3 Revocation of Authorization

You may revoke Notice123's access to your Amazon data at any time through Amazon Seller Central. Upon revocation, we will cease accessing your Amazon data and will delete all associated data within 30 days, as described in our Privacy Policy.

4. Acceptable Use

You agree not to:

  • Use the Service to violate any agreement between you and Amazon, including the Amazon Services Business Solutions Agreement
  • Use the Service to manipulate Amazon's systems, including review manipulation or ranking manipulation
  • Resell or redistribute access to the Service without our written consent
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Use the Service to access data from Amazon seller accounts other than your own
  • Use the Service in any manner that could disrupt or interfere with Amazon's systems or services

5. Pricing and Payment

5.1 Subscription Plans

We offer subscription plans as described on our pricing page. Plan features, SKU limits, and marketplace coverage vary by plan.

5.2 Free Trial

We offer a 14-day free trial for new subscribers. No credit card is required to start the trial. The trial includes all features of the selected plan. Upon trial expiration, you must select a paid plan to continue using the Service.

5.3 Billing

Paid subscriptions are billed monthly or annually, depending on your selected plan. Payment is processed through our payment provider at the time of subscription and on each renewal date. All fees are non-refundable except as required by applicable law.

5.4 Price Changes

We may change our pricing at any time. Price changes will take effect at the start of your next billing cycle following 30 days' notice. You may cancel your subscription before the price change takes effect.

6. Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Amazon SP-API outages or rate limiting
  • Network or infrastructure issues
  • Force majeure events

We are not responsible for any disruption to Amazon's SP-API or changes to Amazon's API policies that may affect the Service's functionality.

7. Intellectual Property

The Service, including its design, features, and content, is the intellectual property of Xiamen Yunzhongcheng Technology Co., Ltd. You may not copy, modify, distribute, or create derivative works from the Service without our written consent.

Notice123 is an independent application and is not affiliated with, endorsed by, or sponsored by Amazon. "Amazon" and related trademarks are the property of Amazon.com, Inc. or its affiliates.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that:

  • The Service will be error-free or uninterrupted
  • Inventory data will be real-time or perfectly accurate at all times
  • Notifications will be delivered without delay
  • The Service will meet your specific business requirements

You should not rely solely on the Service for critical business decisions. You are responsible for verifying inventory data and responding to order events through Amazon Seller Central as needed.

9. Limitation of Liability

To the maximum extent permitted by law, Xiamen Yunchengcheng Technology Co., Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Stockouts, overselling, or inventory discrepancies
  • Amazon account suspension or performance metric impacts
  • Data loss or corruption
  • Any damages resulting from Amazon SP-API outages or policy changes

Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Xiamen Yunchengcheng Technology Co., Ltd. and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of Amazon's policies or agreements
  • Your infringement of any third party's rights

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through the Service or by contacting us at contact@yzccn.com. Cancellation takes effect at the end of the current billing cycle.

11.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or Amazon's policies
  • Your Amazon seller account is suspended or terminated
  • You fail to pay subscription fees when due
  • Your use of the Service poses a risk to our systems or other users

11.3 Effect of Termination

Upon termination, we will revoke your SP-API authorization, cease accessing your Amazon data, and delete your data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if unresolved, through arbitration in Xiamen, Fujian, China.
